T.E.A.M.S SERVICE AGREEMENT

Potential Client, you, referred to from this point forward as “Client” and Done For You Real Estate, USA (of Utah, together with their affiliates (“DFY”)) agree as follows:

SERVICES. DFY agrees to provide Client the following services (collectively “Services”)
1. Educational materials and advice in acquiring real estate to be held and owned by Client for investment purposes (“Qualified Properties” or “Qualified Property”)
2. Access to DFY’s exclusive relationships of qualified and licensed professionals including; mortgage brokers, real estate agents, contractors and property managers (collectively “Qualified Professionals”), who may assist Client in obtaining Qualified Properties.
3. A VP of Client Fulfillment who will coordinate communication between Licensed Professionals and the Client to help acquire a Qualified Property;
4. An access to available inventory of Qualified Properties.
COMPENSATION. Client agrees to pay DFY a flat fee of Four Thousand Nine Hundred Ninety-Five Dollars ($4,995.00) per transaction for any Qualified Property acquired by Client (the “T.E.A.M.S Fee”). The T.E.A.M.S Fee shall be due and payable at the time of closing on each Qualified Property. No fee shall be due until and unless the client successfully closes on the purchase of an investment property. The fee will be paid most often in the form of a buyers commission on the Closing Disclosure statement at closing paid to the brokerage representing the client in the state where the property is being purchased.
CONFIDENTIALITY. DFY shall not disclose, divulge, reveal, report or use, for any purpose, information reasonably considered to be private or proprietary to the Client, including any of Client’s financial information, communications between DFY and Client, and all documents, materials, reports, estimates, information and the like developed by, obtained by, or received by DFY (the “Confidential Information”), except as authorized by the Client or as required by law. As such client authorizes DFY to share client personal information that is pertinent to the purchase of investment property to the licensed professionals being introduced to the client by DFY including but not limited to real estate agents, mortgage brokerages and lending institutions, property suppliers, property management companies, insurance agents/companies, and others who are part of the team that make up the professionals contracted to provide the services required in the purchase and ongoing management of investment property. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
CAPACITY/INDEPENDENT CONTRACTOR RELATIONSHIP. DFY is not an agent or employee of Client but is an independent contractor and will perform the Services as an independent contractor and shall maintain complete control over and be responsible for all of its employees and operations. Neither DFY nor anyone employed by it shall be, represent, act, purport to act, or be deemed to be the agent, representative, employee or servant of Client. This Agreement shall not be deemed to create any form of business organization between or among the parties hereto or as giving DFY any type of property interest in any Qualified Property, nor is any party granted any right or authority to assume or create any obligation or responsibility on behalf of any other party, nor shall any party be in any way liable for any debt of one of the others.
SERVICES DISCLOSURE. Client acknowledges and agrees that DFY is not a licensed real estate brokerage, and that all licensed activities will be conducted by one of it’s licensed affiliates. DFY has not been engaged by Client to represent them or provide any service that may create a fiduciary duty or require any professional licensing, such as presenting a property or writing an offer, or acquire any particular Qualified Properties or to provide any legal, tax, investment or financial advice. Client has been advised to work with licensed real estate professionals to assist Client in acquiring any Qualified Properties and to consult with other appropriate professional service providers as needed. Although DFY may provide information and education relating to real estate investment approaches and where to acquire real estate properties, nothing contained in the materials or presentations provided by DFY shall be construed as a solicitation, recommendation, endorsement or offer by DFY or any third party to buy or sell any securities or other financial instruments or any particular real property. Any properties that may be found on the DFY website are actual properties DFY Clients have purchased through licensed professionals in the state in which they are found and are for illustrative purposes only and are not for sale through the website or from DFY.
TERMINATION. Either Party may terminate this Agreement at any time for any reason on written notice to the other Party. In that event, Client will pay DFY the TEAMS Fee for the Services performed for any Qualified Property that goes under contract during the term of this Agreement regardless of whether the purchase of the Qualified Property closes during or after the date of termination of this Agreement.
MUTUAL WAIVER OF CONSEQUENTIAL DAMAGES. Notwithstanding any other provisions of this Agreement to the contrary, neither Party, including their officers, agents, servants and employees, shall be liable to the other for lost profits or any specific, indirect, incidental or consequential damages in any way arising out of this Agreement however caused under a claim of any type of nature based on any theory of liability (including, without limitation, contract, tort or warranty) even if the possibility of such damages has been communicated.
BINDING EFFECT. This Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, successors and assigns.
GOVERNING LAW. This Agreement will be deemed to have been made, executed, and delivered in the State of Utah and will be governed by and enforced in accordance with the laws of such state, excluding conflicts of law rules. The state and federal courts sitting in the State of Utah will have exclusive jurisdiction over all controversies that may arise under or in relation to this Agreement. The parties hereby consent to the personal jurisdiction of the State of Utah and waive any other venue to which they might be entitled by virtue of domicile, habitual residence, or otherwise.
ENTIRE AGREEMENT. This Agreement constitutes the entire agreement of the Parties and the same may not be amended or modified orally. All understandings and agreements heretofore had between the Parties are merged in this Agreement, which alone fully and completely expresses their understanding.
